Valencia Women's Golf Club:

These by-laws incorporate the amendments and revisions made November 18. 2008. The original by-laws were written and approved May 1974.

Article I

The name of this organization shall be, "Valencia Women's Golf Club", and shall hereafter be referred to in these
by-laws as Club

Article II: Membership Requirements - Rights & Privileges

Section 1

  1. An applicant must be (18) years of age.
  2. Memberships are individual and non-transferable.
  3. All applications for membership shall be signed by the applicant. The applications shall state the residence, post office address, phone number, e-mail, fax and cell phone numbers of applicant. All applicants must play a round of Golf with a Board member at Vista, playing to a triple bogie before being accepted as a Member.
  4. Memberships in the Club are for the fiscal year of January 1 to December 31 only, with memberships expiring on December 31.
  5. The Board of Directors may confer honorary membership upon those they feel have made an outstanding contribution to this organization or to the game of golf.

Section 2

All property rights of this Club shall be vested solely in the membership

Article III: Obligations and Discipline

Section 1

The acceptance of membership in this Club shall bind each member to abide by the conditions, rules and regulations of the club and to accept and enforce the decisions of the Board of Directors.

Section 2

By not complying with the rules and regulations of this Club or with the Board of Directors, any member is liable to suspension by 2/3 vote of the Board of Directors, from whose decision an appeal may be taken to the members having voting rights, at the next special meeting.

Section 3

No member shall be suspended without notification of the action proposed and an opportunity to be heard in her defense.

Article IV: Government & Management

Section 1

The control and management of the affairs funds and property of the Club shall be vested in a Board of Directors consisting of at least seven (7) members, to be elected as provided in Article V and one (1) more than half shall constitute a quorum.

Section 2

One officer shall sign all checks and other written documents, necessary for the regular conduct of the Club.

Section 3

No Director shall, under any pretense, what so ever, receive a salary from the funds of the Club.

Article V: Election of Directors

Section 1

The election of Directors shall be held each November during a general meeting. Each member shall have one vote. The Directors shall assume office the first day of January following the election.

Section 2

The President, with the approval of the Board of Directors, shall appoint in September, a nominating committee consisting of three (3) members, including the Past President, who shall act as Chairman.

Section 3

No person shall be eligible for election as a director who is not a member in good standing.

Section 4

If a vacancy occurs on the Board of Directors, the Board shall appoint an eligible member to fill the vacancy. That Director, so appointed, shall hold office until the next November meeting when a Director shall be elected.

Article VI: Meetings

Section 1

Meetings of the Board of Directors shall be held at such time and place as determined by the President or Board of Directors.

Section 2

Special meetings of the Board of Directors may be called at anytime by the President. The Secretary shall give each Director notice of the time and place of such meetings by telephone or mail. Minutes of this meeting shall be read and approved at the next Board meeting.

Section 3

At least four (4) general meetings, including the annual meeting, shall be held each year.

Section 4

The annual meeting and installation of the officers of this Club shall be held in December at a convenient places such as the Board may designate.

Section 5

Notice of this meeting shall be mailed to the members no less than twenty (20) days before the meeting date.

Article VII: Officers

Section 1

The officers of this Club shall be a President, Vice-President, Secretary, Treasurer and such other officers as the Board shall, from time to time, determine to be necessary.

Section 2

It shall be the duty of the President to preside at all meetings of the Club. She shall see that the by-laws and such rules and regulations as may be adopted by the Club are strictly enforced and supervise generally all affairs of the Club. She shall appoint all committees with the approval of the same with the exception of the nominating committee. In the absence of the President or Vice President, the Secretary shall call the meeting to order and a temporary Chairman shall be chosen.

Section 3

The Vice-President shall act as assistant to the President and in the absence of the President discharge all business pertinent to the office of the President. She shall serve as Ways and Means Director. She shall observe and discharge duties pertaining to her job description.

Section 4

The Secretary shall take minutes of all meetings. She shall send out correspondence at the direction of the President.

Section 5

The Treasurer shall:

  1. Receive all moneys for the Club,
  2. Deposit the funds of the Club in a bank approved by the Board of Directors,
  3. Keep an itemized account of all financial transactions of the Club, all bills, and render a report at each meeting.
  4. Pay all bills approved for payment by the Board of Directors.
  5. Prepare books for audit at the end of each calendar year.

Section 6

The Handicap/Membership Director

  1. Shall keep a current record of each member's handicap index and transfer such information to the proper handicap agency each month.
  2. When a new member submits her application and complies with membership requirements, the Handicap/Membership Director shall forward a copy of the application to the following board members: Newsletter and Tournament Chairs, President, Vice President and Treasurer.

Article VIII

Section 1

The yearly dues each member shall pay will be determined annually by the Board of Directors.

Section 2

Dues shall be payable, October 1, and will be considered delinquent November 31. If any member fails to pay her dues the Board of Directors may suspend the member until the dues are paid. In the event the member fails to pay her dues thirty (30) days after a notice of suspension the Board of Directors may suspend the member from the Club.

Article IX

On all questions of interpretation of these by-laws, the decision of the Board of Directors shall be final.

Article X

This Club shall cooperate and comply with the rules and regulations of the United States Golf Association (USGA)

Article XI

These by-laws may be revised or amended by a 2/3 vote of the Board of Directors.

Article XII Parliamentary Authority

The rules contained in the current edition of Robert's Rules of Order shall govern the Club in all cases to which they are applicable and to which they are not inconsistent with these by-laws and any special rules of order the Club may adopt.
